Municipal Directory Online Version

Grant of License; Copyright and Restrictions; Suspension or Revocation:

The Subscriber assumes the entire risk as to the accuracy and the use of the data provided by the Connecticut Conference of Municipalities (CCM). CCM retains all proprietary rights to its online data, which is protected by copyright, trademark and other applicable intellectual property rights. Data (which shall be deemed to include text, numbers and images) from the CCM Web Site may be copied only in accordance with the express terms of the license, as set forth below:

1. This Agreement permits Subscriber to access the Municipal Directory On-line area of the CCM web site as a single product from only one computer at a time for a period determined by CCM as appropriate for the accessed resource.

2. Unless otherwise specified, the data provided may not be installed or downloaded into the permanent memory (e.g., hard disk or other storage memory) of any computer.

3. Unless otherwise specified, the data provided may not be copied, downloaded, stored in a retrieval system, transmitted or otherwise reproduced, stored, disseminated, or transferred, provided that printouts of insubstantial portions of the data may be created by the Subscriber, and shall bear the following notation: Connecticut Municipal Directory, Copyright© 2011 The Connecticut Conference of Municipalities, 900 Chapel Street, 9th Floor, New Haven, CT 06510-2807, USA. All rights reserved.

4. Subscriber shall not sell, license or distribute data or use any part of the data as a component of or as a basis for any material offered for sale, license or distribution, or use it to create directories or mailing or marketing lists.

5. Subscriber is solely responsible for its use of the CCM web site, for all use of the CCM web site made by others under this subscription, and for ensuring that such use complies fully with these terms and conditions of use.

CCM reserves the right, in its sole discretion, to suspend or revoke Subscriber's right to use the CCM Municipal Directory On-line area of the CCM web site for nonpayment of fees due or based on its belief that Subscriber's use of the CCM web site violates the terms and conditions of use set forth herein or is in violation of applicable law.

6. Subscribers are hereby notified that material provided through a research request, information kit, model ordinance, or other such information request does not constitute legal advice. Subscribers should consult the advice of a qualified legal counsel in regards to legal opinions.

7. Subscribers are hereby notified that sharing of usernames and/or passwords is hereby prohibited. Along with user submitted information, IP addresses are collected in order to enforce this provision. Any user account that accesses this area of the web site from an excessive number of IP addresses may be deemed as having breached this provision and is subject to immediate loss of access. In such cases no reimbursement of fees paid, if any, shall be due to the user regardless of any remaining subscription time.

Disclaimer of Warranties and Limitation of Liability; Remedies:

THE DATA IN THE Municipal Directory On-line area of the CCM web site IS PROVIDED 'AS IS' WITH NO WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF PERFORMANCE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND FREEDOM FROM INFRINGEMENT.

NO WARRANTY IS MADE THAT ACCESS TO ONLINE DATA WILL BE UNINTERRUPTED OR ERROR FREE OR THAT IT WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

CCM SHALL NOT BE LIABLE FOR ANY ERRORS OR OMISSIONS NOR SHALL IT BE LIABLE FOR ANY DAMAGES, WHETHER ARISING IN CONTRACT, NEGLIGENCE OR OTHERWISE AND WHETHER DIRECT OR INDIRECT, SPECIAL OR CONSEQUENTIAL, INCLUDING LOSS OF PROFITS, FOR ANY USE OF OR INABILITY TO USE THE CCM WEB SITE, EVEN IF ADVISED OF THE POSSIBILITY.

In the event of misappropriation or misuse of the data in violation of this Agreement, CCM shall be entitled to obtain injunctive relief. Subscriber also agrees to indemnify, defend and hold harmless CCM from any and all damages, liabilities, costs, charges, and expenses, including attorneys' fees, arising out of any material breach of this Agreement by Subscriber, including any use of the CCM online data by a Subscriber that is not expressly authorized under this Agreement.

This Agreement and any disputes arising under it shall be governed exclusively by the laws of the State of Connecticut and the United States of America, and the State of Connecticut shall be the exclusive forum, jurisdiction and venue for any such disputes. No suit may be brought against CCM under this Agreement after one year from the date on which the circumstances giving rise to the claim arose, and in no event shall CCM's total liability to any Subscriber be greater than the annual subscription fee paid by Subscriber to CCM.

If any part of this Agreement is found void and unenforceable, it shall not affect the validity of the balance of the Agreement, which shall remain valid and enforceable according to its terms.
